These Terms set out the agreement between you (the Patient) and Pennington Dental Care Ltd (the Practice). The Practice is a company registered in England and Wales (Company No. 07079845) with practices at: Kenilworth — 37 High Street, Kenilworth, CV8 1LY (01926 863236); Stratford-upon-Avon — Suite A, Elta House, Birmingham Road, CV37 0AQ (01789 205254).

Please read these Terms carefully and keep them in a safe place. The Practice team will go through anything you wish to discuss before you sign.

1. Definitions

"The Practice" means Pennington Dental Care Ltd, including both its Kenilworth and Stratford-upon-Avon sites.

"The Plan" means the membership plan you have selected, as recorded on the signature page of this Agreement.

"You / Your / the Patient" means the person receiving dental care under the Plan.

"Payer" means the person responsible for paying the monthly fee under the Plan, as named on the signature page. The Payer may be the Patient themselves, or another person such as a parent, guardian, partner, or employer. Where the Patient is under 18, a parent or guardian must sign this Agreement on the Patient's behalf and act as the Payer. Where the Payer is not the Patient, the Payer agrees to be bound by these Terms in respect of payment obligations, and the Patient remains responsible for the clinical obligations under the Plan.

"Monthly Fee" means the recurring fee for the Plan, payable monthly in advance by Direct Debit.

"Admin Fee" means the one-off £15 admin fee that applies on signing up to the Plan.

"Start Date" means the date on which your first monthly Direct Debit collection is successfully taken. Plan benefits formally begin from the Start Date, subject to clause 6.4.

"Collection Date" means either the 1st or the 15th of each calendar month, whichever comes sooner after you register — the date on which the Practice processes your Plan Direct Debit collections.

"Standard Treatments" means the routine examinations, hygiene visits, and x-rays included in your Plan as listed on the front page.

"Discount" means the percentage reduction on other treatment fees set out in clause 5.

2. The Plan

Your Plan is a direct agreement between you and the Practice for the provision of routine preventive dental care, in return for a Monthly Fee. The Plan is not an insurance product and does not provide cover for emergency treatment outside the Practice, treatment abroad, or any costs not specified in this Agreement. The contract for your dental care is between you and Pennington Dental Care Ltd; there is no third-party administrator.

3. Standard Treatments — What is Included

Each Plan includes a defined number of routine appointments and x-rays per 12-month period from your Start Date, as listed on the front page:

Routine appointments are scheduled examinations and cleanings of standard duration. Unused appointments do not roll over into the following year. Where the dentist considers additional appointments or imaging to be clinically necessary, you will be informed and the additional cost (where applicable) discussed before treatment proceeds.

3.1 Who Delivers Your Care

Hygiene appointments under your Plan may be delivered by a qualified hygienist, therapist, or dentist at the Practice, depending on clinical need and operational factors. The Practice does not guarantee that any specific clinician will deliver any specific appointment. Where a particular clinician is unavailable, the Practice reserves the right to substitute another suitably qualified member of the Practice team without notice. Where you wish to combine an examination and cleaning into a single appointment, this may be delivered by the dentist at their discretion.

4. Treatments Not Included in the Plan

The following are not included as part of your Plan entitlement, and where required will be charged at the Practice's standard private fee schedule. The Plan discount in clause 5 may apply to some of these items (see clause 5 for the list of treatments to which the discount does not apply).

4.1 Additional or Non-Routine Appointments

4.2 Imaging Beyond the Routine Allowance

4.3 Other Excluded Items

Where any of the above is required, the Practice will inform you in advance and provide an estimate of the cost. You may choose whether to proceed.

5. Treatment Discount

Plans A to E include a 15% discount on the Practice's standard private fees for restorative and routine treatment. The Exam Only plan includes a 5% discount. The discount applies to treatment carried out at the Practice's Kenilworth or Stratford-upon-Avon sites for you as the named Patient under the Plan.

The discount does NOT apply to:

The Practice reserves the right to vary the list of excluded treatments by giving you at least 30 days' written notice.

6. Fees and Payment

6.1 Admin Fee

A one-off Admin Fee of £15.00 applies on signing up to the Plan. This Fee is paid by debit or credit card at the time of signing.

The Admin Fee is non-refundable except where you cancel within the 14-day cooling-off period under clause 8.

6.2 Monthly Fee and Collection Dates

Your Monthly Fee is the amount shown for your selected Plan, payable monthly in advance by Direct Debit. The Practice collects Plan Direct Debits on either the 1st or the 15th of each calendar month, whichever comes sooner after you register. Your first collection will be taken on the next 1st or 15th of the month following the day you sign this Agreement, whichever comes sooner, subject to the bank's Direct Debit notification rules (BACS scheme rules require a minimum advance notice period, so if you sign up too close to the next collection date, your first collection may move to the following collection date). There are no pro-rata charges; you pay only the full Monthly Fee from your first collection date.

6.3 Fee Increases

The Practice reviews Plan fees annually and may also review them at other times if material costs (such as inflation or running costs) change. Any increase will be communicated to you in writing at least 30 days before it takes effect. If you do not wish to continue at the new fee, you may cancel the Plan by giving the Practice 21 days' written notice expiring on the last day of a calendar month, with no further charge beyond fees due to the cancellation date and any amounts due under clauses 9 and 10.3.

6.4 Plan Benefits and the Start Date

Plan benefits, including the treatment discount and Standard Treatments, formally begin on your Start Date (the date of your first successful Direct Debit collection). The Practice may, at its sole discretion, choose to extend Plan benefits to you before the formal Start Date as a goodwill gesture. Any such early benefit is offered as a courtesy and does not change the contractual Start Date or create any obligation on the Practice to do the same on any future occasion. Where any goodwill benefit has been provided and you subsequently cancel this Agreement, clauses 8 and 9 apply and the Practice reserves the right to recover the value of any discount or free service provided.

7. Direct Debit and Failed Collections

Your Monthly Fee is collected by Direct Debit through GoCardless, on behalf of Pennington Dental Care Ltd. You will be asked to set up the Direct Debit mandate at the time of signing this Agreement. Your Direct Debit is protected by the Direct Debit Guarantee; if an error is made by the Practice or by GoCardless, you are entitled to a full and immediate refund from your bank or building society.

7.1 Failed Collections — Your Consent

By signing this Agreement, you authorise the Practice and GoCardless to retry any failed Direct Debit collection up to two further times within 14 days of the original collection date, to charge you a £5.00 failed payment fee for each unsuccessful collection attempt, and to contact you by phone, email, or text message regarding any failed collection.

7.2 Non-Payment of One Fee

If a Monthly Fee collection fails, the Practice will retry collection as set out in 7.1 and may contact you to arrange payment.

7.3 Non-Payment of Two Consecutive Fees

If two consecutive monthly collections fail, the Practice will contact you to discuss the situation before any further action is taken. The Practice will not automatically cancel your Plan, but where arrears cannot be resolved within a reasonable period, the Practice reserves the right to suspend Plan benefits or terminate the Plan under clause 10.

7.4 Cancellation of Direct Debit

If you cancel your Direct Debit, no further attempt will be made to collect payment. Two consecutive missed collections following Direct Debit cancellation will result in termination of the Plan under clause 10.

7.5 Treatment During Missed Payment

If you receive any treatment during a period of missed payment, you remain liable for the full standard private fees for that treatment, and the Practice may invoice you accordingly.

8. 14-Day Cooling-Off Period

You have the right to cancel this Agreement within 14 days of the date you sign it, without giving any reason and without any penalty. To exercise this right, notify the Practice in writing (by letter or email). Your Admin Fee will be refunded in full.

8.1 Treatment Received During the Cooling-Off Period

If you have received any dental treatment during the 14-day cooling-off period and then cancel:

The Practice may, at its discretion, waive recovery of any such amounts as a goodwill gesture, but reserves the right to invoice for them where appropriate. The Practice's standard private fee schedule is available at reception and on request.

9. Six-Month Discount Clawback

Where you have received discounted treatment under this Agreement, and you cancel the Plan within six months of receiving that discounted treatment (or within six months of the end of a course of discounted treatment), you may be liable to refund to the Practice the full amount of the discount you received in relation to that treatment.

This clause applies only to discounted treatment received within the six months before cancellation; it does not apply to discounts received outside that six-month window. Standard Treatments received under your Plan are dealt with under clause 10.3.

The Practice may, at its discretion, choose not to seek recovery of any clawback amount where the circumstances warrant goodwill. Recovery is a right reserved by the Practice, not an automatic charge.

10. Cancellation After the Cooling-Off Period

10.1 Cancellation by You

After the 14-day cooling-off period, you may cancel this Agreement at any time by giving the Practice not less than 21 days' written notice, expiring on the last day of a calendar month. There is no minimum term and no cancellation fee, but clause 10.3 applies to the Standard Treatments you have received, and clauses 8.1 and 9 may apply where discounted treatment has been received.

10.2 Cancellation by the Practice

The Practice may end this Agreement by giving you two calendar months' written notice expiring on the last day of a calendar month. The Practice may also end the Agreement immediately by written notice if, in the reasonable opinion of the Practice team, your conduct or oral health renders the Plan untenable, including:

Where the Practice cancels the Plan for missed payments or breach of these Terms, any outstanding Monthly Fees, treatment charges, or amounts due under clauses 8.1 or 9 remain payable. Where the Practice ends this Agreement for any reason under this clause 10.2, the valuation of Standard Treatments and payment of any difference under clause 10.3 also apply.

10.3 Routine Care Received Before Cancellation

If this Agreement is cancelled at any time after the 14-day cooling-off period, whether by you for any reason (including following a fee increase or a variation of these Terms) or by the Practice under clause 10.2, the Practice will value the Standard Treatments (routine examinations, hygiene visits and x-rays) you have received since the start of your membership at the Practice's standard private fees in force at the time each treatment was provided. Where that total exceeds the total Monthly Fees you have paid under the Plan (excluding the Admin Fee and any premium paid for optional insurance cover), you must pay the difference to the Practice within 30 days of the cancellation date. This is in addition to any amount due under clause 9. The Practice's standard private fee schedule is available at reception and on request.

11. Missed Appointments

If you cancel an appointment with less than 24 hours' notice, or fail to attend a booked appointment, the Practice may charge you for the time reserved at the Practice's standard missed appointment rate, in addition to your Monthly Fee. Repeated missed appointments may result in cancellation of the Plan under clause 10.2.

12. Treatment Outside the Plan

Nothing in this Agreement prevents you and the Practice team from agreeing to treatment outside your Plan entitlement. You will be responsible for paying for such treatment at the applicable rate. Where your Plan discount applies, it will be applied to the eligible portion in accordance with clause 5.

13. Dental Records and Data Protection

13.1 Who Is Responsible for Your Data

Pennington Dental Care Ltd (Company No. 07079845), of 37 High Street, Kenilworth, CV8 1LY and Suite A, Elta House, Birmingham Road, Stratford-upon-Avon, CV37 0AQ, is the controller of your personal data under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. ICO registration number: Z2738426. Data protection lead: Dr Fuz Jamall, Practice Owner.

13.2 What the Practice Holds

The Practice will hold and process your personal data, including your contact details, dental records (including your medical history, x-rays and scans), details of your Plan, and payment information. Where another person pays for your Plan, the Practice also holds the Payer's name, contact details and payment information.

13.3 Why the Practice Uses Your Data and the Lawful Basis

  • To provide your dental care: this is necessary to perform your agreement with the Practice (UK GDPR Article 6(1)(b)), and your health information is used for the provision of health care (Article 9(2)(h) and the Data Protection Act 2018, Schedule 1, paragraph 2).
  • To administer the Plan, collect your Admin Fee and Monthly Fees, and contact you about your Plan, appointments and payments: this is necessary to perform this Agreement (Article 6(1)(b)).
  • To keep clinical and financial records and meet the Practice's legal and regulatory obligations: this is necessary to comply with the law (Article 6(1)(c)).

13.4 Who Your Data Is Shared With

The Practice does not sell your data. It shares only what is needed, with:

  • the Practice's membership plan software provider, which holds your Plan sign-up and membership records on the Practice's behalf and only on its instructions;
  • GoCardless, which collects your Direct Debit on either the 1st or the 15th of the month, whichever comes sooner after you register. The Practice's GoCardless account is used to process Direct Debit payments; your bank details and payment history are processed by GoCardless under their own terms and privacy policy;
  • if you add the optional Accident & Emergency Dental Cover: Lloyd & Whyte Ltd, which administers the cover, and Hamilton Insurance DAC, the insurer, together with the partners named in the policy wording. They use your data to provide the cover and handle claims, under their own privacy notices (see the Data Protection section of the policy wording);
  • other organisations that support the Practice, such as dental laboratories and IT and practice-software providers, under contract and only on the Practice's instructions;
  • other healthcare professionals involved in your care, for example if you are referred to a specialist; and
  • regulators, law enforcement or others where the law requires it.

13.5 How Long Your Data Is Kept

The Practice keeps your dental records for at least 11 years after your care with the Practice ends, in line with the NHS Records Management Code of Practice for dental records, and your Plan and payment records for at least 6 years from the end of the financial year they relate to, as HMRC requires. It then deletes or destroys them securely.

13.6 Your Rights

You have the right to ask for a copy of your data, to have inaccurate data corrected, to ask for your data to be erased or its use restricted (subject to the Practice's legal duty to keep dental records), to object to its use, and to ask for your data to be transferred to you or another provider. Where the Practice relies on your consent, you can withdraw it at any time. The Practice will normally respond within one month and free of charge.

13.7 Contact and Complaints

To use any of these rights or ask about your data, email kenilworth@penningtondental.co.uk, write to either Practice address above, or ask at reception. If you are unhappy with how your data has been handled, you have the right to complain to the Information Commissioner's Office (ICO) at ico.org.uk or on 0303 123 1113.

13.8 The Practice's Privacy Notice

Full details are in the Practice's Privacy Notice at www.penningtondental.co.uk/patient-privacy-notice, which is also available on request and at the reception desk.

14. Variation of These Terms

Where it is necessary to vary these Terms — for instance, to take account of changes in the law or in the Practice's operations — the Practice may do so by giving you at least 30 days' written notice. If you do not wish the Agreement to continue having regard to any variation, you may cancel by the time the notice of variation expires, in accordance with clause 10.1.

15. Contract Not Transferable

This Agreement is between you and Pennington Dental Care Ltd, and may not be transferred to another dental practice. You are not entitled to assign or sub-contract any rights or obligations you may have under the Agreement to any other person.

16. Complaints and Disputes

If you have a complaint about your care or the Plan, please raise it with the Practice Manager in the first instance. The Practice will acknowledge your complaint within 3 working days and aim to resolve it within 20 working days. If the complaint cannot be resolved internally, you may refer it to the Dental Complaints Service (dcs.gdc-uk.org) for private dental care, or to the General Dental Council (gdc-uk.org) where relevant.

17. Notices

Any notice given by the Practice under these Terms is valid if sent to the Patient's (or Payer's) email address or last known postal address as provided on the signature page. Any notice given by you is valid if sent in writing to the Practice address on the signature page, or by email to the Practice's published email address.

18. Third Parties

This Agreement is intended to confer a benefit only on the Practice and on you (and, where applicable, the Payer). No other person shall be entitled to enforce any term of this Agreement by virtue of the Contracts (Rights of Third Parties) Act 1999.

19. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.

Optional Accident & Emergency Dental Cover

This cover is optional. You can add it at any time, for £0.60 a month. It is separate from the Plan and has its own policy terms, which are not part of these Terms.

The policy wording (version CAPIN180D-JAN26) says:

“Your policy is administered by Lloyd & Whyte Ltd and underwritten Capacity Insights, a trading name of Healix Insurance Services Ltd on behalf of the insurer, Hamilton Insurance DAC.”

“Your Accident and Emergency Dental claims are administered by Denis UK Limited registered in England and Wales under No. 06399615 at Grove House, Lutyens Close, Basingstoke Hants, RG24 8AG, Financial Services Register No. 600303.”

“The purpose of this Policy is to provide a Plan Member with Dental Services as described in Sections 1 to 5 of this Policy document during the Period of Cover for Treatment by a Dentist.”
